The Mechanical Vision Corporation Terms of Service
Terms for using The Mechanical Vision Corporation products and services.

These Terms of Service are a legal agreement between you and The Mechanical Vision Corporation, also called "MVC," "we," "us," or "our," for your access to and use of our websites, hosted applications, mobile applications, smart glasses capture workflows, APIs, AI features, documentation tools, evaluations, and related products and services, together called the "Service."
Please read these Terms carefully. By creating an account, accepting an order form, accepting an invitation, accessing the Service, or using the Service, you agree to these Terms. If you use the Service for a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
If your organization has a separate written agreement, order form, master services agreement, data processing agreement, security addendum, statement of work, or similar agreement with MVC, that separate agreement controls if there is a conflict with these Terms.
1. Service Overview
The Service helps aviation maintenance, repair, inspection, manufacturing, and industrial teams capture evidence of work, map observations to records, and prepare review-ready documentation.
The intended workflow is simple: glasses observe, the mechanic just does the job, and a human reviews and signs. The Service may capture video, audio, images, document scans, measurements, timestamps, user inputs, workflow status, device information, and other evidence. AI features may analyze that evidence in real time or after capture to suggest form fields, checklist status, inspection notes, summaries, discrepancies, and other outputs.
The Service is an assistive documentation and inspection workflow tool. It does not replace required inspection procedures, human judgment, regulatory obligations, company quality systems, or the authority of certificated personnel. Your organization remains responsible for final review, approval, release, signature, and compliance decisions.
2. Company Accounts and Separate Agreements
MVC may make the Service available through evaluations, trials, paid subscriptions, enterprise accounts, or other access programs.
Customer-specific commercial terms, implementation scope, integrations, data retention commitments, security requirements, support commitments, service levels, deployment details, and similar terms may be described in a separate written agreement between MVC and your organization.
3. Eligibility and Accounts
You must be at least 18 years old and legally able to enter into these Terms. You are responsible for keeping your account credentials secure and for activity under your account.
Organization administrators may invite users, remove users, view organization activity, manage organization settings, and control access to organization content. If you use an account provided by your employer or another organization, that organization may control the account and the content associated with it.
You agree to provide accurate account information and to keep it current.
4. Human Review, Safety, and Compliance
The Service may generate AI-assisted outputs, including drafts, suggestions, classifications, extracted fields, transcripts, measurements, summaries, or exception flags. These outputs may be incomplete, inaccurate, or require additional context.
You agree that qualified personnel must review Service outputs before relying on them for maintenance, inspection, release, certification, safety, compliance, customer delivery, or regulatory purposes. You are responsible for following all applicable laws, regulations, manuals, maintenance instructions, quality procedures, customer requirements, and internal policies.
You must not use the Service in a way that creates an unsafe condition, bypasses required inspection steps, or treats AI output as final without human review.
5. Customer Systems and Integrations
The Service may allow import from or export to third-party systems, including maintenance, ERP, quality, document, identity, storage, messaging, analytics, or inspection systems. Integrations are optional unless a written agreement says otherwise.
By enabling an integration, you authorize MVC to exchange information with the applicable third-party system as needed to provide the Service. You are responsible for having the rights, permissions, credentials, and approvals needed for that integration.
MVC is not responsible for third-party systems, third-party terms, third-party availability, or limits imposed by third-party providers. If a third-party provider or your organization limits access, field mapping, export rights, API usage, or data movement, MVC may not be able to complete the integration until those limits are resolved.
6. Customer Content
6.1 What Customer Content Means
"Customer Content" means content, data, files, records, and information that you or your organization submit, upload, record, capture, import, generate, or make available through the Service. Customer Content includes video, audio, images, photos, document scans, inspection records, work orders, component information, part numbers, serial numbers, measurements, notes, transcripts, annotations, form fields, checklist responses, comments, reports, and related metadata.
6.2 Ownership of Customer Content
As between you and MVC, you retain ownership of Customer Content. These Terms do not transfer ownership of Customer Content to MVC.
Subject to MVC's rights in the Service and any separate written agreement, your organization owns the documents, reports, and records generated from your Customer Content for your internal business use.
6.3 License to Provide and Improve the Service
You grant MVC a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, analyze, modify, create derivative works from, and otherwise use Customer Content as needed to:
- provide, operate, maintain, secure, and support the Service
- capture, analyze, transcribe, structure, and map inspection evidence
- generate, review, export, and store documentation and Service outputs
- communicate with users and organization administrators
- troubleshoot, monitor, test, validate, and improve the Service
- train, evaluate, fine-tune, and improve MVC's computer vision, speech, language, workflow, and other AI or machine learning models
- develop new MVC products, features, services, models, and workflows
- comply with law, enforce these Terms, and protect users, customers, MVC, and the public
This license is not a transfer of ownership. It exists so MVC can provide the Service, improve it, and build related products and services.
6.4 Aggregated, De-Identified, and Anonymized Data
MVC may derive or generate data, datasets, annotations, model inputs, model outputs, metrics, statistics, signals, embeddings, patterns, analyses, and other information from Customer Content and use of the Service that does not reasonably identify your specific organization or individual personnel. We call this "Aggregated Data."
Aggregated Data may include images, video clips, audio, transcripts, measurements, inspection patterns, workflow signals, component characteristics, part categories, defect patterns, process steps, or other technical data that has been aggregated, de-identified, anonymized, masked, cropped, blurred, transformed, or otherwise processed so it is not reasonably traceable to your specific organization or individual personnel. For video or image data, these methods may include face blurring, badge or name removal, customer name removal, metadata reduction, background masking, or similar technology.
You grant MVC a worldwide, perpetual, irrevocable, sublicensable, transferable, royalty-free license to use Aggregated Data for any lawful business purpose, including to improve the Service, train or evaluate MVC models, develop new products or services, create benchmarks, improve safety and reliability, and understand product performance. MVC owns Aggregated Data, Service usage analytics, model improvements, trained model parameters, and Service improvements that do not reasonably identify you or your organization.
Deletion of Customer Content does not require MVC to delete Aggregated Data, de-identified datasets, trained model parameters, product improvements, analytics, or records that no longer reasonably identify the original source.
6.5 AI Model Use
MVC may use Customer Content to train, evaluate, test, and improve AI models used by or for MVC in connection with the Service and related MVC products or services. This may include proprietary MVC models and systems for computer vision, speech recognition, language understanding, workflow understanding, document generation, multimodal reasoning, physical-world task understanding, robotics, and other AI or machine learning systems.
Unless your organization has agreed otherwise in writing, MVC does not authorize third-party AI providers to use your Customer Content to train their general-purpose models. MVC may use third-party AI providers and infrastructure providers to process Customer Content as needed to provide the Service, subject to the Privacy Policy and applicable provider terms.
6.6 Sensitive and Regulated Data
You are responsible for deciding what Customer Content is appropriate to capture in the Service. Customer Content may include sensitive inspection or maintenance information, proprietary repair data, customer data, supplier data, export-controlled information, and confidential business information.
Unless a written agreement says otherwise, you must not submit classified information, controlled unclassified information, ITAR-controlled technical data, protected health information, payment card data, government security information, or other highly regulated data to the Service.
Additional handling requirements for specific sensitive or regulated data categories may be set out in a separate written agreement between MVC and your organization.
6.7 Your Responsibilities for Customer Content
You represent that you have the rights, permissions, consents, and authority needed to provide Customer Content to MVC and to grant the licenses in these Terms. You are responsible for the accuracy, legality, and quality of Customer Content and for your use of Service outputs.
You must not upload or capture content that violates law, violates third-party rights, invades privacy, exposes information without authorization, or contains malicious code.
7. Privacy and Security
Our Privacy Policy explains how we collect, use, store, disclose, and protect personal information and Customer Content. The Privacy Policy is part of these Terms.
MVC uses reasonable administrative, technical, and organizational safeguards designed to protect the Service and Customer Content. No system is perfectly secure, and we cannot guarantee that unauthorized access, loss, or misuse will never occur.
These safeguards may include encryption in transit and at rest, authentication and access controls, logging and monitoring, backups, internal access limits, vendor review, and written commitments from service providers that process information for MVC.
Customer-specific security, retention, access, integration, or deployment commitments may be described in a separate written agreement between MVC and your organization.
8. Third-Party Services and Providers
The Service may include or rely on third-party services, software, infrastructure, hosting, storage, analytics, identity, communications, AI, model, transcription, payment, support, or integration providers.
MVC may share Customer Content and personal information with service providers as needed to provide, support, secure, and improve the Service. Service providers are permitted to process information only as authorized by MVC and as described in the Privacy Policy or a written agreement.
Third-party websites, platforms, services, and integrations are not controlled by MVC. You should review their terms and privacy policies before using them.
9. Feedback
If you provide ideas, suggestions, bug reports, comments, or other feedback about the Service, you grant MVC a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction or payment to you.
10. Payments
Some parts of the Service may require payment. Fees, billing terms, taxes, renewal terms, and cancellation terms will be described in the applicable order form, subscription page, invoice, or written agreement.
Unless a written agreement says otherwise, fees are non-refundable except as required by law.
11. Service License and Restrictions
Subject to these Terms, MVC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
You must not:
- reverse engineer, copy, modify, or create competing products from the Service except where law allows
- interfere with security, access controls, rate limits, or usage limits
- access the Service using bots, scraping tools, or automated methods that MVC has not approved
- use the Service to violate law, violate third-party rights, or harm another person
- upload malicious code or attempt unauthorized access
- sell, rent, sublicense, or transfer access to the Service without MVC's written approval
- remove or obscure proprietary notices
- use the Service to build or train a competing model, product, or service
12. Confidentiality
Each party may receive confidential information from the other. Confidential information includes non-public business, technical, product, security, financial, operational, and customer information that a reasonable person would understand to be confidential.
Each party will use the other party's confidential information only as needed for the relationship between the parties, will protect it using reasonable care, and will not disclose it except to personnel, contractors, advisors, service providers, or affiliates who need to know and are bound by confidentiality obligations.
Customer Content is your confidential information unless it is public or these Terms expressly allow MVC to use it in another way, including as Aggregated Data.
13. Publicity
MVC will not publicly use your organization's name, logo, or trademarks in marketing materials without your organization's permission.
14. Termination, Retention, and Deletion
You may stop using the Service at any time. MVC may suspend or terminate access to the Service if you violate these Terms, create security or legal risk, fail to pay required fees, or use the Service in a way that could harm MVC, users, customers, or third parties.
After termination, MVC may retain Customer Content as needed to provide transition support, comply with law, prevent fraud, resolve disputes, enforce agreements, maintain backups, complete security or audit reviews, or preserve Aggregated Data and model improvements. Retention and deletion may also be governed by your organization's written agreement with MVC.
15. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, MVC disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
MVC does not warrant that the Service will be uninterrupted, error-free, secure, or that AI outputs will be accurate, complete, or suitable for a particular use. You are responsible for validating outputs before relying on them.
16. Limitation of Liability
To the fullest extent permitted by law, MVC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, loss of goodwill, or substitute services.
To the fullest extent permitted by law, MVC's total liability for all claims related to the Service or these Terms will not exceed the greater of 100 U.S. dollars or the amount you paid to MVC for the Service in the 12 months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
17. Indemnity
You will defend, indemnify, and hold harmless MVC and its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from claims, damages, liabilities, losses, costs, and expenses arising from your Customer Content, your use of the Service, your violation of these Terms, your violation of law, or your violation of third-party rights.
18. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. The parties consent to the state and federal courts located in Travis County, Texas for disputes that may be brought in court.
Before filing a claim, each party agrees to try to resolve the dispute in good faith by sending written notice and allowing 30 days for informal resolution.
19. Changes to These Terms
MVC may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, sending notice, or using another reasonable method. The updated Terms become effective on the date stated in the updated version, unless a notice says otherwise.
Your continued use of the Service after updated Terms take effect means you accept the updated Terms.
